The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced on Jan. 2, 2024.

Number of shares:  19.6 million flow-through common shares

Purchase price:  $1.77 per flow-through common share

Warrants:  6.86 million common share purchase warrants to purchase 6.86 million common shares

Warrant exercise price:  $1.77 per common share for a period of three years (subject to accelerated expiry, as further described in the company's news release)

Number of placees:  one placee

Agent's fee:  an aggregate cash commission of $1,040,760 payable to Scotia Capital Inc. and Deutsche Bank Securities Ltd.

The company issued a news release on Jan. 2, 2024, confirming closing of the private placement and on Jan. 19, 2024, confirming the amount of agent's fee payable in connection with the private placement.
