COMPREHENSIVE HEALTHCARE SYSTEMS ANNOUNCES EXTENSION OF SECOND TRANCHE OF PRIVATE PLACEMENT
Comprehensive Healthcare Systems Inc. will be extending its non-brokered private placement, previously announced on Jan. 8, 2026, and upsized on Jan. 26, 2026, of an aggregate of:
- Up to seven million units at a price of 50 cents per unit for gross proceeds of up to $3.5-million;
- Plus up to an additional 4,038,462 units at a price of 52 cents per unit for gross proceeds of up to $2.1-million.
The extension is for an additional 30 days, until April 13, 2026. The company closed a first tranche of the offering on Feb. 10, 2026, issuing all seven million of the 50-cent units (see news release dated Feb. 12, 2026). The extension of the offering, in respect of the additional 52-cent units, will allow the company to accommodate a subscription by its controlling shareholder, who is based overseas and must follow certain processes in order to further participate in the offering.
Each unit comprises one common share of the company and one-half of a warrant, with each whole warrant being exercisable to purchase one common share of the company at an exercise price of $1 for a period of three years after closing.
Completion of the offering will be subject to customary closing conditions, including the receipt of all necessary approvals, including that of the TSX Venture Exchange. All securities issued will be subject to hold periods under applicable securities laws. The company may pay finders' fees on the offering in compliance with applicable laws and subject to exchange approval.
