Number of shares:  5,831,812 non-flow-through common shares and 8,289,250 flow-through common shares

Purchase price:   14 cents per non-flow-through common share and 20.5 cents per flow-through common share

Warrants:  5,831,812 share purchase warrants to purchase 5,831,812 common shares

Warrant exercise price:  21.5 cents per share for an 18-month period

Number of placees:   41 placees

Aggregate existing insider involvement:  eight insiders, 4,548,994 shares

Aggregate pro group involvement:   six groups, 1,813,761 shares

Finder's fee:  $108,824.37
