Number of shares:  1,875,000 common shares

Purchase price:  80 cents per common share

Warrants:  1,875,000 share purchase warrants to purchase 1,875,000 shares

Warrant exercise price:  80 cents per share for a period of 60 months

Number of placees:  three placees

Aggregate existing insider involvement:  two insiders, 750,000 shares

The company issued a news release on Nov. 17, 2023, confirming closing of the private placement.
