The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 7, 2023.

Convertible debenture:  $1,942,000

Conversion price:  convertible into 19.42 million common shares at a conversion price of 10 cents per share

Maturity date:  36 months from the issuance

Warrants:  19.42 million common share purchase warrants, with each warrant exercisable to purchase one common share at a price of $0.15 for a period of 36 months after closing, subject to accelerated expiry as further described in the December 29, 2023 press release

Interest rate:  18 per cent per annum

Number of placees:  14 placees

Aggregate existing insider involvement:  one insider, 670,000 shares

Finder's fee:   $89,360, 893,600 warrants

Finder's warrants terms:   each warrant entitles the holder to purchase one common share at a price of 15 cents for a period of three years from the date of issuance
