Further to the TSX Venture Exchange Bulletins dated Oct. 29, 2021, Feb. 8, 2022, March 21, 2022, and April 22, 2022, the exchange has consented to the amendments of the convertible debentures as mentioned herein.

Original convertible debentures:  $4,207,000 principal amount of unsecured convertible debentures

New convertible debentures:  $4,310,734.26 principal amount of unsecured convertible debentures, equal to $4,207,000 plus $103,734.26 of accrued and unpaid interest

Original conversion price:   convertible into common shares of the company at a price equal to 35 cents per common share

Amended conversion price:  convertible into common shares of the company at a price equal to 15 cents per common share

Original interest rate terms:  10 per cent per annum

Amended interest rate terms:   18 per cent per annum

All other terms remain unchanged.
