The TSX Venture Exchange has accepted for filing documentation pertaining to a plan of arrangement among the company, the target and 16712371 Canada Inc., the company's wholly owned subsidiary, pursuant to the arrangement agreement dated Feb. 4, 2025.

Under the terms of the agreement, the shareholders of the target received 1.497 common shares of the company for every common share of the target held by such target shareholder, resulting in issuance of 73,768,343 common shares of the company. Additionally, the company has assumed the target's common share purchase stock options and common share purchase warrants, which are now exercisable into up to 2,867,504 common shares and up to 14.97 million common shares of the company, respectively. Each common share purchase warrant and stock option terms of the target outstanding immediately prior to completion of the arrangement has been adjusted in accordance with the exchange ratio. The resulting postarrangement entity is a wholly owned subsidiary of the company.
