The TSX Venture Exchange has accepted for filing the company's proposal to issue 1,620,446 shares at a deemed price of 11.5 cents per share settle outstanding debt for $186,351.29.

Number of creditors:  two creditors

Aggregate non-arm's-length party involvement:  one creditor, $145,093.66 owed, 11.5 cents, 1,261,684 shares

The company shall issue a news release when the shares are issued and the debt extinguished.
