BANYAN GOLD ANNOUNCES VOTING RESULTS FROM ANNUAL GENERAL AND SPECIAL MEETING OF SHAREHOLDERS

Banyan Gold Corp. has released the voting results of the company's annual general and special meeting of shareholders, held on Oct. 20, 2025.

A total of 160,626,338 common shares were voted, representing the votes attached to 42.64 per cent of all outstanding common shares. Shareholders voted in favour of the election of all director nominees. The percentage of votes cast for each is detailed in an attached table.

Shareholders also approved: (i) the appointment of De Visser Gray LLP, chartered professional accountants, as the company's auditor and authorized the directors to set the auditor's remuneration; and (ii) a resolution approving the company's stock option plan.

The appointment of De Visser Gray LLP, chartered professional accountants, as auditor of the company:

  • Total number of votes cast for: 160,400,339 or 99.86 per cent.

In favour of approval of the stock option plan:

  • Total number of votes cast for: 135,031,308 or 98.65 per cent.

About Banyan Gold Corp.

Banyan's primary asset, the AurMac project is located in the traditional territory of First Nation of Na-Cho Nyak Dun, in Canada's Yukon. The current mineral resource estimate (MRE) for the AurMac project has an effective date of June 28, 2025, and comprises an indicated mineral resource of 2,274,000 ounces (oz) gold (Au) (112.5 million tonnes at 0.63 gram per tonne (g/t)) and an inferred mineral resource of 5,453,000 oz Au (280.6 million tonnes at 0.60 g/t) (as defined in the Canadian Institute of Mining, Metallurgy and Petroleum (CIM) definition standards for mineral resources and mineral reserves, incorporated by reference into National Instrument 43-101). The 291.8-square-kilometre AurMac project lies 40 kilometres from Mayo, Yukon. The AurMac project is transected by the main Yukon highway and benefits from a three-phase power line, existing power station and cell phone coverage.
