Purchase price:  32.5 cents per charity flow-through share

Number of placees:  five placees

Finder's fee:  $4,800.00 payable to Canaccord Genuity

Pursuant to Corporate Finance Policy 4.1, Section 1.9(e), the company has issued a news release announcing the closing of the private placement on Dec. 30, 2020, and setting out the expiry dates of the hold period(s).
