The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on June 1, 2023.

Number of shares:  383,333 non-flow-through common shares, 513,000 flow-through common shares

Purchase price:  six cents per non-flow-through common share, eight cents per flow-through common share

Warrants:   639,833 share purchase warrants to purchase 639,833 common shares

Warrant exercise price:  383,333 share purchase warrants exercisable at 10 cents for period of two years; 256,500 share purchase warrants exercisable at 12 cents for period of two years

Number of placees:  five placees

Aggregate existing insider involvement:  one insider, 250,000 shares

The company issued a news release on June 1, 2023, July 6, 2023, and Aug. 4, 2023, confirming closing of the private placement.
