The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on May 5, 2023.

Number of shares:  (1) six million flow-through shares; (2) 3.1 million non-flow-through shares

Purchase price:  (1) five cents per share; (2) five cents per share

Warrants:  (1) six million share purchase warrants to purchase six million shares; (2) 3.1 million share purchase warrants to purchase 3.1 million shares

Warrant exercise price:  (1) seven cents for a two-year period; (2) seven cents for a two-year period

Number of placees:  13 placees

Total existing insider involvement:  800,000 (two insiders)

The company issued a news release on May 5, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
