BIGG DIGITAL ASSETS INC. PROVIDES AN UPDATE TO THE ACQUISITION OF TERRAZERO TECHNOLOGIES INC.

TerraZero Technologies Inc. has received the requisite approval from its shareholders of a special resolution to approve the previously announced amalgamation between TerraZero and a subsidiary of Bigg Digital Assets Inc., which will result in Bigg Digital acquiring all of the issued and outstanding common shares and preferred shares of TerraZero (not including TZ shares held by the company). The special resolution was approved at a special meeting of the holders of TZ shares held at 10 a.m. on Sept. 21, 2023. At the meeting:

• A total of 47,850,539 or 100 per cent of the votes cast at the meeting by holders of TZ shares present or represented by proxy were cast in favour of the special resolution.
• A total of 42,950,539 or 100 per cent of the votes cast at the meeting by holders of TZ common shares were cast in favour of the special resolution.
• A total of 4.9 million or 100 per cent of the votes cast at the meeting by holders of TZ preferred shares were cast in favour of the special resolution.

The company expects to complete the transaction on Sept. 28, 2023.
