The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 16, 2023.

Number of shares:  seven million common shares and 1.1 million flow-through shares

Purchase price:  3.5 cents per common share and five cents per flow-through share

Warrants:  seven million common share purchase warrants to purchase seven million common shares and 550,000 flow-through share purchase warrants to purchase 550,000 common shares

Warrant exercise price:  five cents per common share purchase warrant share for a period of 36 months and 10 cents per flow-through share purchase warrant share for a period of 24 months

Number of placees:   21 placees

Aggregate existing insider involvement:  five insiders, 1,529,000 common shares and 100,000 flow-through shares

Finder's fee:  $2,800.35, 80,010 finder's warrants

Finder's warrants terms:   Each finder's warrant entitles the holder to purchase one common share at the price of five cents for a period of 36 months.

The company issued a news release on Dec. 19, 2023, confirming closing of the private placement.
