Maxam Capital Management provides management and investment advisory services to Maxam Opportunities Fund II LP ("Maxa
--->m Fund").  On September 26, 2014, Maxam Fund acquired 5,240,964 common shares in the capital of the Issuer (the "Share
--->s") and Maxam Capital Corp. ("Maxam"),  a joint actor of Maxam Capital Management, acquired 1,000,000 Shares from Sean
---> Morrison, the CEO of the Issuer, which shares were acquired by Morrison as a result of the exercise of incentive stoc
--->k options.
The 1,000,000 Shares were acquired at $2.35 per Share for an aggregate consideration of $2,350,000.  The 5,240,964 Sha
--->res were issued to Maxam Fund from the treasury of the Issuer under a Private Placement at $1.66 per Share for a total
---> consideration of $8,700,000.
Maxam Capital Management, through Maxam Fund, in conjunction with Maxam, now has control and direction over a total of
---> 6,240,964 Shares representing approximately 11.52% of the issued and outstanding Shares.
Sean Morrison, the President and Chief Executive Officer of the Issuer, has control and direction over Maxam Capital M
--->anagement and has control and direction over Maxam.  Mr. Morrison does not hold any Shares in the Issuer directly.
