BEAR CREEK MINING ANNOUNCES C$8.2 MILLION PRIVATE PLACEMENT

Bear Creek Mining Corp. plans to conduct a non-brokered private placement of 16,725,000 common shares of Bear Creek at a price of 49 cents per share to raise gross proceeds of approximately $8.2-million.

The net proceeds of the offering will be used for exploration and production improvements at the Mercedes gold mine located in Sonora, Mexico, and for general corporate purposes. The offering is scheduled to close on or about July 21, 2023, and is subject to certain conditions customary for transactions of this nature, including, but not limited to, the receipt of all necessary approvals, including the approval of the TSX Venture Exchange.

The shares issued under the offering will be subject to a statutory hold period in Canada of four months and one day following the closing date.
