ELSE NUTRITION ANNOUNCES TSX DELISTING AND INTENTION TO SEEK ALTERNATE LISTING

Else Nutrition Holdings Inc. has received notice that the Toronto Stock Exchange will delist the company's common shares and warrants effective at the close of market on May 8, 2026. The delisting follows a review by the TSX, pursuant to which the TSX determined that the company no longer meets the TSX continued listing requirements.

The company is considering options to request a further review of the delisting determination, with the aim of obtaining an additional period to remedy the identified listing requirements that are deficient. The company is also reviewing options to list on an alternative Canadian stock exchange concurrently with delisting from the TSX.

The company continues to conduct its business operations in the ordinary course, including working to complete and replenish its product inventory in order to address increasing market demand. In parallel, the company is engaged in continuing and substantive interactions with the U.S. Food and Drug Administration (FDA) in connection with its application for approval of its infant formula. The company will provide additional updates on these items in due course
