AGEREH TECHNOLOGIES INC. ANNOUNCES PRIVATE PLACEMENT OFFERING OF $600,000

Agereh Technologies Inc. has arranged a private placement financing of up to 24 million units of the company at a price of 2.5 cents per unit for gross proceeds of up to $600,000.

Each unit under the offering will consist of one common share of the company and one common share purchase warrant of the company, with each warrant entitling the holder to purchase one additional share at a price of five cents per share for a period of two years from the date of issue.

The proceeds of the offering will be used for continuing costs associated with the company's product development, for sales and marketing, and for general working capital and administrative expenses.

All securities issued under the offering, including securities issuable on the exercise thereof, are subject to a hold period expiring four months and a day from the date of issuance.

The offering is subject to the acceptance of the TSX Venture Exchange.
