The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 1, 2023.

Number of shares:  9.5 million units; each unit consists of one common share and one common share purchase warrant

Purchase price:   10 cents per unit

Warrants:  9.5 million common share purchase warrants to purchase 9.5 million common shares

Warrant exercise price:  25 cents for an 18-month period

Number of placees:  three placees

The company issued a news release on March 4, 2024, confirming closing of the private placement.
