The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 21, 2023.

Number of shares:  one million units; each unit consists of one common share and one common share purchase warrant

Purchase price:  20 cents per unit

Warrants:  one million common share purchase warrants to purchase one million common shares

Warrant exercise price:  25 cents for an 18-month period

Number of placees:   one placee

The company issued a news release on Aug. 30, 2023, confirming closing of the private placement.
