AETHER CATALYST SOLUTIONS, INC. ANNOUNCES A NON-BROKERED PRIVATE PLACEMENT

Aether Catalyst Solutions Inc. proposes to raise up to $75,000 through a non-brokered private placement of up to 1,875,000 units at a price of four cents per unit. Each unit will consist of one common share and one-half of a transferable common share purchase warrant of the company, with each whole warrant exercisable for a period of 12 months from the date of closing at a price of 10 cents per share.

Finders' fees or commissions may be payable to certain eligible persons. All securities issued in connection with the private placement are subject to a four-month hold period in Canada.

The terms of the financing are subject to applicable securities laws and regulatory approval. Additional details regarding the offering can be found in Form 9 filed in accordance with the rules of the Canadian Securities Exchange, a copy of which is accessible at the CSE website under the company's profile.

The gross proceeds of the private placement will be used for general working capital purposes.

The company confirms that there is no material fact or material change about the company that has not already been generally disclosed. Closing is expected to occur March 19, 2025.
