ALIMENTATION COUCHE-TARD INC. PRICES PRIVATE OFFERINGS OF US$ AND CDN.$ DENOMINATED SENIOR UNSECURED NOTES

Alimentation Couche-Tard Inc. has priced a private debt offering of U.S.-dollar-denominated senior unsecured notes with an aggregate principal amount of $1.2-billion (U.S.), consisting of two tranches of notes, and has priced a private debt offering of Canadian-dollar-denominated senior unsecured notes with an aggregate principal amount of $500-million (Canadian):

• $700-million (U.S.) aggregate principal amount of 4.148 per cent senior unsecured notes due 2028;
• $500-million (U.S.) aggregate principal amount of 5.077 per cent senior unsecured notes due 2035;
• $500-million (Canadian) aggregate principal amount of 3.864 per cent senior unsecured notes due 2032.

The offering of the U.S.-dollar notes is expected to close on or about Sept. 29, 2025, and the offering of the Canadian-dollar notes is expected to close on or about Sept. 26, 2025, in both cases subject to the satisfaction of customary closing conditions. Couche-Tard intends to use the net proceeds from the sale of the notes to repay indebtedness under its U.S. commercial paper program.

The notes will be direct unsecured obligations of Couche-Tard and will rank pari passu with all other current and future senior unsecured and unsubordinated indebtedness of Couche-Tard, and will be guaranteed on a senior unsecured basis by certain of Couche-Tard's wholly owned subsidiaries which are guarantors under Couche-Tard's senior credit facilities.
