The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Jan. 30, 2023, and April 4, 2023, and April 25, 2023.

Number of shares:  19,642,181 shares

Purchase price:  12 cents per share

Warrants:  9,821,089 share purchase warrants to purchase 9,821,089 shares

Warrant exercise price:  20 cents for a three-year period

Number of placees:  11 placees

Total pro group involvement:  1,098,166 (four pro groups)

Agents' fees:  Beacon Securities Ltd., $52,064.40 cash and 430,305 compensation options; Vukasin Pekovic, 312,500 shares; Devrim Jan Turkdogan, 312,500 shares

Agent's compensation option terms:  Each compensation option entitles the holder to purchase one common share at the price of 12 cents for a period of three years from the date of issuance. Beacon Securities will also receive a corporate finance fee equal to $100,000, payable in 833,333 units at the issue price of 12 cents per unit with the same terms as the offering.

The company issued a news release on May 24, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
