GLOBAL COMPLIANCE APPLICATIONS CORP. CLOSES FIRST TRANCHE OF PRIVATE PLACEMENT

Global Compliance Applications Corp., pursuant to its news release issued Sept. 17, 2026, has closed the first tranche of its private placement and will issue 41 million units at 0.5 cent per unit for gross proceeds of $205,000. Each unit consists of one common share and one common share purchase warrant. Each warrant is exercisable at five cents per share for two years from closing (expiry date: Oct. 2, 2028).

Proceeds will be used for general working capital in order to further the company's goals and objectives.

Closing of the private placement transaction, in one or more tranches, is subject to the approval of the Canadian Securities Exchange. The first tranche units are subject to a statutory four-month-and-one-day hold period expiring on Feb. 3, 2027.
