GLOBAL COMPLIANCE PROCEEDS TO PRIVATE PLACEMENT

Global Compliance Applications Corp. will proceed to a private placement financing of up to 190 million shares at one cent per share for gross proceeds of up to $1.9-million.

Proceeds will be used to for general working capital in order to further the company's goals and objectives. Finders' fees may be payable.

The private placement transaction is subject to the approval of the Canadian Securities Exchange.

Upon closing, the shares will have a statutory four-month-and-one-day hold period.
