GLOBAL COMPLIANCE APPLICATIONS CORP. CLOSES DEBT SETTLEMENT

Global Compliance Applications Corp., further to its news release dated Jan. 20, 2026, has settled an aggregate of $367,465.42 of debt owed to five creditors of the company. In settlement of the debt, the company issued an aggregate of 36,746,542 units of the company at a deemed price of one cent per settlement unit. Each settlement unit comprises one common share in the capital of the company and one share purchase warrant. Each warrant entitles the holder thereof to acquire one share at a price of five cents per warrant share for a period of 24 months from the date of issuance.

All settlement units were issued pursuant to the employee, executive officer, director and consultant exemption set forth in Section 2.24 of National Instrument 45-106, Prospectus Exemptions, and as a result, such securities are not subject to a hold period under applicable Canadian securities laws.
