GLOBAL COMPLIANCE APPLICATIONS CORP. ANNOUNCES DEBT SETTLEMENT

Global Compliance Applications Corp. will settle an aggregate of $246,428 of debt owed to creditors of the company. In settlement of the debt, the company will issue an aggregate of 24,642,800 units at a deemed price of one cent per settlement unit. Each settlement unit consists of one common share in the capital of the company and two share purchase warrants. Each warrant entitles the holder thereof to acquire one share at a price of five cents per warrant share for a period of 24 months from the closing date of the debt settlement. Twenty-four million six hundred forty-two thousand eight hundred settlement units will be issued pursuant to the employee, executive officer, director and consultant exemption set forth in Section 2.24 of National Instrument 45-106, Prospectus Exemptions, and, as a result, such securities are not subject to a hold period under the prevailing Canadian securities laws. However, the warrants, underlying common shares and warrant shares, if applicable, comprising 24,642,800 settlement warrant shares, are subject to a statutory hold period of four months and one day following the date of issuance in accordance with applicable Canadian securities laws.
