GLOBAL COMPLIANCE APPLICATIONS CORP. ANNOUNCES FINANCING AND DEBT SETTLEMENT

Global Compliance Applications Corp. has arranged a non-brokered private placement of up to 10,722,500 units of the company at a price of three cents per unit for aggregate gross proceeds of up to $321,675. Each unit will be composed of one common share in the capital of the company and one-half of one share purchase warrant. Each warrant will entitle the holder thereof to acquire one share at a price of 6.5 cents per warrant share for a period of 24 months from the closing date of the offering.

The offering may close on one or more dates as the company may determine. The company may pay a finder's fee in connection with the offering to eligible arm's-length finders in accordance with the policies of the Canadian Securities Exchange. The company intends to use the proceeds raised from the offering for product sales, technology improvements and general operations.

The company also intends to settle an aggregate of $178,325 of debt owed to four creditors of the company. In settlement of the debt, the company will issue an aggregate of 5,944,166 shares at a deemed price of three cents per settlement share.

All securities issued in connection with the offering and the debt settlement will be subject to a statutory hold period of four months and one day following the date of issuance in accordance with applicable Canadian securities laws.
