ANDEAN PRECIOUS METALS ANNOUNCES RESULTS OF ANNUAL GENERAL AND SPECIAL MEETING OF SHAREHOLDERS

Andean Precious Metals Corp. has released the voting results from the company's annual general and special meeting of shareholders held on Thursday, Aug. 31, 2023.

A total of 137,515,220 common shares were voted at the meeting, being 87.34 per cent of the company's total issued and outstanding common shares. A majority of shareholders voted in favour of the management resolutions brought before the meeting, including:

  1. The number of directors of the company was fixed at six;
  2. The members elected to the company's board of directors for the ensuing year are as follows:
    • Grant Angwin;
    • Yohann Bouchard;
    • Felipe Canales;
    • Peter Gundy;
    • Alberto Morales;
    • Ramiro Villarreal.
  3. KPMG LLP was reappointed as auditor for the company for the ensuing year;
  4. The continuance of the company out of the Business Corporations Act (British Columbia) to Ontario under the Business Corporations Act (Ontario) was approved.
