The TSX Venture Exchange has accepted for filing documentation pertaining to an option agreement dated June 1, 2026, between A.I.S. Resources Ltd. and an arm's-length party. Pursuant to the terms of the agreement, the company may acquire a 100-per-cent interest in 150 mining claims covering approximately 6,300 hectares, located near Saint John, N.B., comprising the Frenchmans Creek property (88 claims) and the Grand Bay property (62 claims). By way of consideration, the company will make total cash payments of $90,000, issue a total of $200,000 worth of common shares to the optionor over a four-year period and incur approximately $187,450 in exploration work expenditures to maintain the claims in good standing. The price of the common shares to be issued will be calculated based on the 20-trading-day volume-weighted average price prior to the due date, subject to a minimum price of 13.5 cents per share. The company has the option to pay cash in lieu of issuing common shares. Upon earning a 100-per-cent interest, the property will be subject to a 2-per-cent net smelter return (NSR) royalty in favour of the optionor. The company retains a right of first refusal to purchase 50 per cent of the nsr royalty (a 1-per-cent NSR) from the optionor for $1-million in cash, or an agreed combination of cash and shares subject to the exchange's prior approval.
