The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Oct. 10, 2023.

Convertible debenture:  $800,132 (Canadian) ($590,503 (U.S.))

Conversion price:  convertible into 15,578,942 common shares at 5.1 Canadian cents in year 1 or 7,789,471 common shares at 10.3 Canadian cents in year 2

Maturity date:  two years from issuance

Interest rate:  9 per cent per annum

Number of placees:  one placee

The company issued a news release on Feb. 15, 2024, confirming the closing of the private placement.
