Pursuant to a resolution passed by directors of Adagio on Feb. 28, 2024, Adagio Capital Inc. has consolidated its capital on a one-new-for-2.5-old basis. Pursuant to a resolution passed by directors of Adagio on Feb. 28, 2024, Adagio has changed its name from Adagio to AGEDB Technology Ltd.

Effective at the opening on Monday, March 25, 2024, the postconsolidated common shares of AGEDB Technology will commence trading on the TSX Venture Exchange and the common shares of Adagio will be delisted.

AGEDB Technology is classified as a technology company.

Postconsolidated capitalization:  unlimited shares with no par value, of which 42,152,000 shares are issued and outstanding

Escrow:  two million shares and 186,667 stock options subject to the CPC (capital pool company) escrow agreement; 26.7 million shares and 1.8 million stock options subject to a 36-month staged release escrow agreement
