The Globe and Mail reports in its Wednesday edition that Agnico Eagle Mines had the ignominious distinction of having the worst result on any say-on-pay vote in Canada last year, with just 24 per cent of shareholders voting in the affirmative. The Globe's David Milstead writes that this year, the company managed to eke out an extra point and get 25-per-cent support in the non-binding advisory vote. The two major proxy-advisory services recommended that shareholders withhold their votes from Robert Gemmell, chair of Agnico's compensation committee. As for whether Mr. Gemmell would receive a rebuke, we will never know. That is bad news for shareholders of another company where Mr. Gemmell still serves: Rogers Communications, where he is the lead independent director. Agnico shareholders received a proxy circular and ballot this spring that featured Mr. Gemmell as one of 12 nominees. When the company announced the voting results late Friday night, Mr. Gemmell was nowhere to be found. Later, Agnico said Mr. Gemmell decided just before the annual meeting to not stand for re-election after talking to shareholders ahead of the meeting. Proxy adviser Glass Lewis also recommended a "withhold" vote for Mr. Gemmell at Rogers.
