The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on May 8, 2023.

Number of shares:  14.4 million charity flow-through shares (Each charity FT share consists of one common share.)

Purchase price:  20.5 cents per charity FT share

Number of placees:  one placee

The company issued a news release on May 25, 2023, confirming the closing of the private placement.
