The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Oct. 12, 2023.

Number of shares:  20 million shares

Purchase price:  one cent per share

Warrants:  20 million share purchase warrants to purchase 20 million shares

Warrant exercise price:  five cents for a two-year period and subject to accelerated expiry

Number of placees:  11 placees

The company issued news releases on Dec. 15, 2023, and Jan. 15, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
