---> consents and approvals, including, but not limited to, acceptance from the TSX Venture Exchange (the "TSXV"), the com

*bullet* $12,000 + HST in shares for services upon commencement, August 1, 2020, for prior preparation;
*bullet* $12,000 + HST in shares for Advertising Services at end of Third Month - November 1, 2020;
*bullet* $12,000 + HST in shares for Advertising Services at end of Sixth Month - February 1, 2020;
*bullet* $12,000 + HST in shares for Advertising Services at end of Ninth Month - May 1, 2020;
*bullet* $12,000 + HST in shares for Advertising Services at end of Twelfth Month - July 31, 2021.
The number of shares to be issued in respect of each period will be determined by using the undiscounted closing price
