The Globe and Mail reports in its Tuesday edition that Barrick Gold is urging its shareholders to reject attempts by a Toronto investment firm to scoop up millions of shares in the big miner below the market price in a mini-tender offer. The Globe's Niall McGee writes that TRC Capital Investment made an offer to buy five million shares in Barrick at $21.35 apiece some time after the close of trading on Jan 7. Barrick shares closed that day at $22.36; tendering at $21.35 would be a 4.5-per-cent discount. Because the amount of stock TRC Capital is attempting to buy is relatively low -- only 0.29 per cent of Barrick shares -- the investment firm is not subject to the stringent disclosure rules mandated by security regulators in tender offers for the entire company. For example, under U.S. Securities and Exchange Commission rules, an entity conducting a mini-tender offer does not have to disclose important information about itself or the terms of the offer; it is not even required to notify the target company. TRC Capital is run by securities lawyer Lorne Albaum. In December, 2023, the Law Society of Ontario suspended Mr. Albaum's law licence for nine months after it concluded he had engaged in professional misconduct.
