The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Oct. 26, 2023.

Number of shares:  3,756,000 common shares and 1,052,632 flow-through shares

Purchase price:  $1.25 per common share and $1.90 per flow-through share

Warrants:  1,878,000 share purchase warrants to purchase 1,878,000 shares

Warrant exercise price:  $2 for a one-year period

Number of placees:  four placees

Finder's fee:  $382,500 cash and 273,157 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of $2 for a period of one year from the date of issuance.

The company issued news releases on Oct. 30, 2023, Nov. 3, 2023, Nov. 13, 2023, Nov. 17, 2023, and Nov. 24, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
