The TSX Venture Exchange has accepted for filing Vangold Resources Ltd.'s proposal to issue 2,778,200 shares and 1,930,200 share purchase warrants to settle outstanding debt for $361,567.06.

Warrants:  1,930,200 share purchase warrants to purchase 1,930,200 shares

Warrant exercise price:  15 cents for a two-year period

The company shall issue a news release when the shares are issued and the debt extinguished.
