Warrants:  3.96 million share purchase warrants to purchase 3.96 million shares

Warrant initial exercise price:  12 cents

Warrant term to expiry:  18 months

Number of placees:  four placees

Finders' fees:  EMD Financial Inc., $29,410 cash, 173,000 shares and 173,000 warrants; Sherbrooke Street Capital Inc., $3,400 cash and 50,000 warrants, Caldwell Securities Inc., 173,000 warrants

Finder's warrant initial exercise price:  12.5 cents

Finder's warrant term to expiry:  173,000 warrants exercisable at a price of 12.5 cents for an 18-month period into units consisting of one share and one warrant, where each warrant is exercisable for one share at a price of 12.5 cents for an 18-month period; 50,000 warrants exercisable at a price of 8.5 cents for a 12-month period into units consisting of one share and one warrant, where each warrant is exercisable for one share at a price of 12 cents for an 12-month period
