Warrants:  2.45 million share purchase warrants to purchase 2.45 million shares

Warrant exercise price:  15 cents for a two-year period

Number of placees:  Seven placees

Insider:  Zimtu Capital Corp., 600,000

Finder's fee:  $1,200 plus 12,000 warrants exercisable at 15 cents per share for a two-year period, payable to Canaccord Genuity Corp.

Trading in the shares of the company will remain halted.
