Warrants:  4,861,000 share purchase warrants to purchase 4,861,000 shares

Warrant initial exercise price:  Eight cents

Warrant term to expiry:  Two years

Number of placees:  Three placees

Finder's fee:  Maison Placements Canada Inc., $13,443.30 cash and 230,466 warrants

Finder warrant initial exercise price:  Eight cents

Finder warrant term to expiry:  Two-year warrant exercisable at eight cents

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
