ADF GROUP INC. - DIRECTORS' ELECTION RESULTS

ADF Group Inc. has released its director election results following its annual and special meeting of shareholders held on June 12, 2013.

Each of the nominees proposed as director in the management proxy circular dated April 16, 2013, was elected as director of ADF Group by a majority of the shareholders entitled to vote on a vote by show of hands. In total, 5,940,338 subordinate voting shares (approximately 32.8 per cent of the class) and 14,343,107 multiple voting shares (100 per cent of the class) were represented in person or by proxy at the meeting, representing 92.47 per cent of the voting rights attached to the shares issued and outstanding as the record date of April 16, 2013. The proxies given to management as well as to appointees present at the meeting for the election of directors were voted as shown in the table.
