The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered discretionary waiver private placement announced on March 24, 2016.

Number of shares:  10 million shares

Purchase price:  four cents per share

Warrants:  10 million share purchase warrants to purchase 10 million shares

Warrant initial exercise price:  five cents

Warrant term to expiry:  two years

Number of placees:  30 placees

Insider:  William Ferreira, 375,000 shares

Finder's fee:  Mackie Research Capital Corp., $2,000 cash

Note that in certain circumstances the exchange may later extend the expiry date of the warrants if they are less than the maximum permitted term.
