The TSX Venture Exchange has accepted for filing the documentation with respect to a non-brokered private placement.

Number of shares:  9,334,852 flow-through common shares

Purchase price:  8.5 cents per flow-through common share

Number of placees:  13 placees

Insiders:  Renaud Hinse, 412,000; Decochib Inc. (Renaud Hinse), 765,000

Finders' fees:  Laurentian Bank Securities Inc. and Marquest Capital Markets Inc. received an aggregate of $25,000 in cash and 235,294 non-transferable warrants to purchase 235,294 common shares at an exercise price 10 cents per share during a period of 24 months following the closing date of the private placement.

The company has confirmed the closing of the above-mentioned private placement by way of a press release dated Dec. 22, 2017.
