The TSX Venture Exchange has accepted for filing the documentation with respect to a non-brokered private placement.

Number of shares:  12.76 million flow-through common shares

Purchase price:  five cents per flow-through common share

Warrants:  6.38 million warrants to purchase 6.38 million common shares

Warrant exercise price:  10 cents until Dec. 31, 2020

Number of placees:  seven placees

Total pro group involvement:  2.76 million

Finder's fee:  An aggregate of $51,040 cash and 1,020,800 common shares purchase warrants have been paid to Qwest Investment Fund Management Inc., Echelon Wealth Partners, Meadowbank asset Management Inc. and Probity Capital Corp. The warrants have an exercise price of five cents and expire on Dec. 31, 2020.

The company has confirmed the closing of the private placement in a news release dated Dec. 31, 2018.
