The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced March 20, 2019.

Number of shares:  4,916,760 shares

Purchase price:  six cents per share

Warrants:  4,916,760 share purchase warrants to purchase 4,916,760 shares

Warrant initial exercise price:  10 cents

Warrant term to expiry:  two years

Number of placees:  five placees

Insider:  Daniel Stolyarov, two million

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
