The TSX Venture Exchange has accepted for filing documentation with respect to a Non-Brokered Private Placement announced Feb. 5, 2016.

Number of shares:  6,049,000 non-flow-through shares and 4,155,000 flow-through shares

Purchase price:  five cents per share

Warrants:  10,204,000 share purchase warrants to purchase 10,204,000 shares

Warrant exercise price:  five cents for a three-year period (6,049,000 warrants) and seven cents for an 18-month period (4,155,000 warrants)

Number of placees:  13 placees

Insiders:  Richard Cooper, 49,000; T.R.L. Investments Ltd. (Richard Cooper), one million; John Wilkinson, 55,000

Finder's fee:  $5,600 in cash and 112,000 finder's warrants payable to Canaccord Genuity Corp. (Each finder's warrant entitles the holder to acquire one common share at five cents for a one-year period.)

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
