Purchase price:  17 cents per share

Warrants:  6,193,647 share purchase warrants to purchase 6,193,647 shares

Warrant initial exercise price:  25 cents

Warrant term to expiry:  two years

Number of placees:  20 placees

Finder's fee:  Canaccord Genuity Corp., $70,720 cash and 416,000 warrants

Finder's warrant initial exercise price:  17 cents

Finder's warrant term to expiry:  exercisable at 17 cents per share for a period of two years from the date of issuance

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
