Number of shares:  10 million common shares in the capital of the company on a flow-through basis

Purchase price:  70 cents per share

Number of placees:  37 placees

Total existing insider involvement:  1,542,860 (four existing insiders)

Total pro group involvement:  307,144 (four pro groups)

Finders' fees:  $192,288.39 (seven finders)

The company issued a news release on Aug. 14, 2023, confirming the closing of the private placement.
